GRANT DEED issued by the authority of the Neufreistadt Land Verwaltung.

OLD LANDOWNERS as Grantor(s) for the consideration of US$91.88, hereby convey, grant, and deed to NEW LANDOWNER as Grantee, the virtual real property commonly known as 300 Hauptgasse, NEUFREISTADT.

NEW LANDOWNER acknowledges that the Democratic Republic of Neufreistadt has encumbered the Land with certain conditions, covenants and restrictions by means of a Declaration of Covenants, Conditions, and Restrictions (the "CC&R Instrument"), the preliminary form of which is attached hereto and incorporated herein by reference as EXHIBIT "A", and which shall be from time to time altered and ammended by action of the Representative Assembly of Neufreistadt.

And the NEW LANDOWNER also acknowledges that the Monthly Consideration, as stated above, shall be from time to time subject to alteration by action of the Representative Assembly. Further, that any such transfer of all or parts of the property to which this deed applies may be subject to a Property Transfer Tax in such amounts as to be determined by the Representative Assembly.

On this day June 7, 2005, in the sim of NEUFREISTADT, City of NEUFREISTADT, I/we herewith sign this Grant Deed.
